Please read these terms carefully. As a B2B manufacturer specializing in OEM/ODM solutions, our agreements differ from standard retail policies.
General Provisions
Sparkle One ("Seller", "Manufacturer") provides construction machinery manufacturing services strictly for business entities ("Buyer", "Distributor"). By placing an order, you acknowledge that:
- You are purchasing for commercial, industrial, or resale purposes (B2B).
- We do not engage in retail sales to individual consumers for personal use.
- All products are manufactured according to agreed specifications or standard export configurations tailored for professional use.
Orders & Manufacturing
2.1 OEM/ODM Specifications
For custom orders (OEM/ODM), the Buyer must provide clear specifications regarding color (RAL codes), branding files (vector format), and technical requirements. Sparkle One is not responsible for discrepancies resulting from ambiguous specifications provided by the Buyer.
2.2 Production Lead Time
Standard lead time is 15-35 business days depending on order volume and customization level. Lead times commence only after the receipt of the deposit and confirmation of all technical drawings/specs.
Note: Changes to specifications after production has commenced may result in additional costs and delays.
Payment Terms
Unless otherwise agreed in a specific Sales Contract:
- Deposit: A 30% non-refundable deposit is required to initiate production.
- Balance: The remaining 70% balance must be paid prior to shipment (FOB) or against the copy of Bill of Lading (CIF/CFR), subject to insurance approval.
- Currency: All payments shall be made in USD or RMB unless otherwise specified via T/T (Telegraphic Transfer).
Shipping & Delivery
We adhere to Incoterms 2020. Common terms include FOB (Free On Board) Qingdao/Tianjin/Shanghai or CIF (Cost, Insurance, and Freight) to the Buyer's designated port.
Risk of loss or damage to the goods passes from the Seller to the Buyer in accordance with the agreed Incoterm. The Buyer is responsible for all import duties, taxes, and customs clearance in the destination country.
Warranty & Liability
Warranty Coverage
We provide a 12-month or 2000-hour warranty (whichever comes first) on main components: Engine, Hydraulic Pump, and Valve.
During the warranty period, Sparkle One will provide free replacement parts for manufacturing defects via air freight.
Exclusions
Warranty does not cover normal wear and tear parts (e.g., tracks, tires, filters, hoses, fuses) or damage caused by improper operation, negligence, or unauthorized modification.
Intellectual Property
Buyer's IP: For OEM orders using the Buyer's trademark, the Buyer warrants they hold legal rights to said trademark and indemnifies Sparkle One against any infringement claims.
Seller's IP: All structural designs, molds, and engineering data developed by Sparkle One remain the intellectual property of Sparkle One, unless a separate "Exclusive Mold Agreement" is signed.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms shall be settled through friendly negotiation; failing which, they shall be submitted to the jurisdiction of the courts in Xi'an, Shaanxi Province.
